Salam - I’m on a sell-side deal at an M&A shop. The deal will likely be bought by a PE adding debt to the balance sheet. From my understanding I cannot be involved in this transaction. Please affirm.
Also, when should I notify my seniors about this? At the IOI stage when parties indicate they will/will not be using debt or after officially going exclusive?
For what it’s worth the CEO does not want any debt and so there may be an opportunity to negotiate no debt possibly between IOI/LOI and exclusivity.
